Beneficial Ownership declaration to CIPC 

All companies and CC's are required to submit their disclosure of Beneficial Ownership to CIPC - now and every year moving forward. This will accompany (it actually has to precede) the CIPC Annual Return process. It is mandatory.

This is one of South Africa's action-points to try get SA more attractive to foreign investment and less of a haven for criminals and money launderers (yes, there is a long way to go!)

 

We have created a process to make it as straightforward and streamlined (and cost-effective) as possible. Reach out to us to assist you with this process.
The basic requirements for most (simple) companies/CC’s are as follows:

  1. Completed resolution appointing us to file on your behalf (the BO mandate)

  2. Completed securities register and beneficial ownership register

  3. ID or passport of all beneficial owners

We will provide templates of the above and ensure they are filled in correctly.

Securities and Beneficial Ownership (BO) registers:

Securities register: "‘securities’ – means any shares, debentures or other instruments, issued by a profit company (section 1 of the Act). A securities register of a company contains all the information of the securities (including shareholding) issued by a company.

BO register: this is only needed if there is more than one director/member or other BO's. This would include the following categories:

  1. Shareholders, by type of share (if more than 1)

  2. Directors

  3. Other persons with voting rights

  4. Other securities if relevant

  5. Persons with effective control - in the management of the company - if not part of the above

Once we get your info confirmed and signed, we will make submission. We will be sending you confirmation of the submission for your records.
